SPV & private-market firms

Find a firm with SPV product lines and ongoing backend fees.

More clients are asking for private-market access. We confidentially connect advisors with firms whose platforms offer SPVs and private investments, including firms that share ongoing backend fees with advisors where the rules allow.

Why advisors ask about SPVs

Private-market access is becoming a reason to move

Advisors serving high-net-worth clients increasingly want a platform that can offer curated private deals, and a compensation model that rewards them for it over time.

Client access to private markets

Pre-IPO equity, private credit, real estate and other deals that clients can't reach through a standard brokerage account.

Ongoing backend fee share

Some firms share a portion of the management or performance fees an SPV earns with advisors over the life of the investment, where permitted and disclosed.

A differentiated practice

A broader product shelf can help you win and keep larger relationships, and stand out from advisors who only offer public markets.

In demand

Private-market names clients are asking about

High-net-worth clients increasingly ask advisors about access to companies like these. Firms with SPV platforms may be able to provide access for eligible investors, depending on availability.

Questions to ask any firm about its SPV platform

Deals & diligence

  • Who sources and vets the deals?
  • Who is the issuer and manager of each SPV?
  • What are the liquidity terms and holding periods?

Fees & compliance

  • How is any advisor fee share calculated, paid and disclosed?
  • Which clients are eligible (accredited investor, qualified purchaser, qualified client)?
  • How does compliance supervise the program?

SPV interests are private securities offerings with significant risks, including illiquidity and potential loss of principal. They must be offered through properly registered firms to eligible investors, with fees disclosed. Performance-based fees are generally limited to "qualified clients" under SEC rules. Top Broker Recruiting does not offer or recommend any investment and does not determine compensation arrangements. Confirm everything with the firm's compliance team and your own counsel.

FAQ

SPV & backend fee questions

Ask a Recruiter
What is an SPV?

A special purpose vehicle (SPV) is a legal entity, usually an LLC or limited partnership, set up to pool investors into a single private investment such as a pre-IPO company, private credit deal or real estate project.

What does "backend fee" mean for an advisor?

Here it means an ongoing share of the fees an SPV generates, such as a portion of management fees or performance fees (carried interest), paid over the life of the investment rather than as a one-time commission. Whether and how an advisor can receive this depends on their registration, their firm and applicable rules.

Can any advisor offer SPVs to clients?

No. SPV interests are typically private securities offerings, generally limited to accredited investors (and sometimes qualified purchasers or qualified clients), and must be offered through properly registered firms. Registered representatives generally cannot participate in private securities transactions outside their firm without written notice and approval.

Do you sell or recommend SPVs?

No. We are a recruiting and placement agency. We connect advisors with firms whose platforms include SPV and private-market product lines. The firm, the advisor and their compliance teams are responsible for the products and fee arrangements.

What should I ask a firm about its SPV platform?

How deals are sourced and vetted, who the issuer and manager are, the fee structure and how any advisor fee share is calculated and disclosed, investor eligibility rules, liquidity terms, and how the firm's compliance team supervises the program.
